Welcome to Immit, a language learning service provided by Techbient, LLC (“Company,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of the Immit web app, desktop app, browser extension, and mobile app (collectively, the “Services”). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.


1. Eligibility

By using the Services, you represent and warrant that:


- You are at least 13 years old (or the age of majority in your jurisdiction). - You have the legal capacity to enter into a binding agreement.


2. Account Registration and Security

2.1 Account Creation

To access certain features of the Services, you may need to create an account. You agree to provide accurate and complete information and to update it as necessary.


2.2 Account Responsibility

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately at contact@immit.co if you suspect unauthorized access to your account.


2.3 Account Termination

We may suspend or terminate your account if you violate these Terms or engage in any unauthorized activity.


3. Use of the Services

3.1 License

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for personal, non-commercial purposes.


3.2 Prohibited Activities

You agree not to:


- Use the Services for any illegal purpose. - Reverse-engineer, modify, or distribute the Services without authorization. - Interfere with or disrupt the Services or servers. - Use automated systems (e.g., bots) to access or interact with the Services.


4. Payments and Subscriptions

4.1 Pricing

Access to certain features of the Services may require payment. All pricing and payment terms are available on our website or within the Services.


4.2 Billing

You authorize us (or our third-party payment processor) to charge your payment method for subscriptions or one-time purchases. Subscription renewals will be billed automatically unless you cancel prior to the renewal date.


4.3 Refunds

Refunds are only issued at our sole discretion and as required by applicable law.


5. Intellectual Property

All content and materials available through the Services, including software, text, graphics, logos, and trademarks, are the property of Techbient, LLC or its licensors. You may not use, copy, modify, or distribute any content without our prior written consent.


6. User-Generated Content

6.1 Ownership

You retain ownership of any content you submit to the Services, such as flashcards, translations, or audio uploads (“User Content”).


6.2 License to Us

By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, distribute, and display your content to provide and improve the Services.


6.3 Prohibited Content

You agree not to submit any content that:


- Violates intellectual property rights. - Contains harmful, obscene, or offensive material. - Promotes illegal activities.


7. Disclaimers and Limitations of Liability

7.1 No Warranties

The Services are provided “as is” and “as available.” We make no warranties, express or implied, regarding the Services, including fitness for a particular purpose or non-infringement.


7.2 Limitation of Liability

To the fullest extent permitted by law, we are not liable for indirect, incidental, or consequential damages arising from your use of the Services. Our total liability is limited to the amount you paid for the Services in the 12 months prior to the claim.


8. Indemnification

You agree to indemnify and hold harmless Techbient, LLC, its affiliates, and employees from any claims, losses, or damages arising out of your use of the Services or violation of these Terms.


9. Changes to the Services and Terms

9.1 Service Updates

We may modify or discontinue the Services, in whole or in part, at any time without prior notice.


9.2 Changes to Terms

We may update these Terms from time to time. Changes will be effective when posted. Your continued use of the Services constitutes acceptance of the updated Terms.



10. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes will be resolved exclusively in the courts located in Delaware.
